General Terms and Conditions (GTC)
01. Scope of Services
- PRIMASWISS provides premium concierge services in the following areas:
- Arrangements for medical treatment and surgery
- Educational programs and enrollment support for European universities and schools
- Sports camps for children and youth, with a focus on discovering athletic and scientific talents
- Organization of conferences, exhibitions, business tourism, and corporate travel
- Leisure tourism packages for families and companies
- Elite tourist transportation and VIP personal security services for high-profile individuals
- These GTC apply to all services provided by PRIMASWISS and form an integral part of all contractual relationships unless otherwise agreed in writing.
02. Contract Formation & Acceptance of GTC
- A contract is concluded when:
- PRIMASWISS issues a written or electronic confirmation; or
- both parties sign an agreement; or
- the client makes payment for a service.
- For online bookings, the client must actively accept these GTC (e.g., ticking a mandatory checkbox "I have read and agree to the GTC"). For offline agreements, the order/contract shall state that these GTC are an integral part of the contract.
03. Service Descriptions and Pricing
- Service descriptions on websites, brochures, or other materials are non-binding.
- All prices are in Swiss Francs (CHF) and include VAT unless otherwise stated.
- PRIMASWISS may adjust prices due to changes in third-party costs or exchange rates.
04. Payment Terms
- All services must be paid in advance unless otherwise agreed.
- Late payments may incur reminder fees and accrue default interest at 7% p.a. (or the statutory rate) plus reasonable collection costs.
- PRIMASWISS may suspend services in case of non-payment.
05. Third-Party Services
- PRIMASWISS may work with third-party providers. While we assist in resolving issues, PRIMASWISS is not liable for the performance of third-party services.
06. Cancellations and Refunds
- Cancellations must be submitted in writing.
- Refunds depend on the time of cancellation:
- Up to 30 days before service: 100% refund minus fees (bank refund charges and a CHF 180 administrative cancellation fee per booking)
- 14–29 days before service: 50% refund
- Less than 14 days before service: no refund
- Non-refundable third-party costs (e.g., tickets, visas, tailor-made arrangements) are always excluded from refunds
07. Money-Back Guarantee
- If PRIMASWISS fails to deliver a prepaid service due to reasons attributable to us, a full or partial refund will be issued.
- Claims must be submitted in writing within 7 days of service delivery.
08. Liability and Insurance
- PRIMASWISS is liable only for damages caused by intent or gross negligence.
- Liability for slight negligence, indirect damages, or consequential losses is excluded.
- The maximum liability of PRIMASWISS is limited to the amount paid for the service.
- Clients are responsible for obtaining suitable insurance (health, travel, accident, etc.).
09. Data Protection
- PRIMASWISS complies with the Swiss Federal Act on Data Protection (FADP) and, where applicable, the GDPR. Personal data is processed only as necessary for service delivery. Typical recipient categories may include hotels, airlines/transport operators, clinics and medical coordinators, camp organisers, visa/permit agencies, insurers, payment processors and IT providers—as detailed in our Privacy Policy. 10. Intellectual Property
- All materials provided by PRIMASWISS remain its intellectual property and may only be used for personal purposes.
11. Jurisdiction and Governing Law
- All contractual relationships are governed by Swiss law. The exclusive place of jurisdiction is Zurich, Switzerland (to the extent permitted by law).
12. Miscellaneous & GTC Updates
- PRIMASWISS may update these GTC periodically; clients will be informed of material changes by email to the address on file and via publication on our website.
- Continued use of our services 30 days after notification, or any new booking after notification, constitutes acceptance of the updated GTC.
- If any provision is held invalid, the remaining provisions remain in full force and effect (severability).
- If these GTC are published in multiple languages, the English version prevails in case of discrepancies.
- No waiver: a delay or omission in enforcing a right does not waive that right.
13. Force Majeure
- PRIMASWISS is not liable for delays or non-performance caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, epidemics, governmental measures, power or internet outages, or failures of third-party providers.
14. Minors & Medical Disclaimer
- Registrations for children and youths must be made by a parent or legal guardian. PRIMASWISS coordinates medical services but does not provide medical advice or practice medicine; medical decisions remain with licensed providers and the client/guardian.
15. Client Obligations
- The client must:
- provide complete and accurate information (including travel/visa/medical details where relevant) and promptly update changes;
- obtain all necessary consents from any third parties whose data is provided to PRIMASWISS;
- ensure medical fitness for activities and hold valid travel documents/visas where applicable; and
- provide an emergency contact.
- PRIMASWISS may rely on information supplied by the client without independent verification.
16. Changes & Rescheduling
- After confirmation, client-initiated changes (dates, participants, services) are subject to availability and any third-party terms. PRIMASWISS may charge a reasonable rescheduling/administration fee and pass through any fare or price differences. If a third party changes or cancels its service, PRIMASWISS will use reasonable efforts to assist with alternatives; additional costs may apply.
17. Fees, Deposits & Non-Refundables
- Unless stated otherwise, deposits of 30% and clearly identified third-party charges, visas, permits, tickets, and tailor-made arrangements are non-refundable to the extent allowed by third-party policies. Where a foreign currency is used, the CHF invoice may reflect exchange-rate variations and bank charges.
18. No-Show & Partial Use
- Failure to appear at the agreed time/place, or partial/non-use of services after commencement, is treated as a late cancellation under §06 (no refund), unless mandatory law provides otherwise.
19. Complaints & Escalations
- Service issues should be reported immediately on site when feasible to the assigned PRIMASWISS coordinator (as stated in the confirmation) or the relevant provider, and in all cases by emailing info@primaswiss.com within 7 days of service delivery to preserve evidence. This procedure does not limit any non-waivable statutory rights.
20. Compliance, KYC & Sanctions
- To comply with applicable laws (e.g., AML, sanctions, export controls), PRIMASWISS may perform reasonable identity and sanctions checks and may decline, suspend, or terminate services where providing them would be unlawful or expose PRIMASWISS to sanctions risk.
21. Confidentiality
- Each party shall keep non-public information received from the other confidential and use it only for performing or receiving the services, except where disclosure is required by law or authorities.
22. Subcontracting & Assignments
- PRIMASWISS may subcontract or assign rights/obligations in connection with the services, provided this does not materially reduce the level of service. The client may assign the contract only with PRIMASWISS's prior written consent (not to be unreasonably withheld).
23. Notices
- Notices may be given by email to the contacts specified in the order/confirmation and are deemed received when delivered (if during Zurich business hours), or the next business day.
24. Survival & Order of Precedence
- Sections on payments, cancellations/refunds, liability, data protection, confidentiality, IP, jurisdiction/law, force majeure, and this §24 survive termination. In case of conflict, a signed service agreement or order confirmation prevails over these GTC.
25. Consumer Law
- Where a client qualifies as a consumer under mandatory law, any conflicting provisions of these GTC shall not apply to the extent they are not permitted by that law.
26. Entire Agreement & Written Form
- These GTC together with any signed agreement and/or order/confirmation constitute the entire agreement regarding the services. Amendments and waivers require written form (email suffices unless a wet signature is expressly required).
27. Chargebacks
- The client agrees not to initiate unjustified chargebacks. Any bank/platform chargeback fees and reasonable costs arising from an unjustified chargeback may be re-invoiced to the client.
28. Definitions & Interpretation
- Business day means Monday-Friday in Zurich, excluding public holidays. "Days" means calendar days unless stated otherwise. Including means including without limitation. Headings are for convenience only.
29. No Guarantee of Outcome
- PRIMASWISS provides best-efforts concierge coordination. Outcomes and decisions by third parties (e.g., visa approvals, clinic availability, medical results, travel providers) are outside PRIMASWISS's control and are not guaranteed. Schedules may change due to third-party policies and operational factors.
30. Limitation Period
- Any claims against PRIMASWISS must be notified and filed within 12 months from service delivery (or from when the issue reasonably became discoverable), to the extent permitted by law. Statutory, non-waivable rights remain unaffected.
31. Relationship of Parties
- The parties are independent contractors. Nothing in these GTC creates a partnership, joint venture, or agency. Neither party may bind the other without express written authority.
32. Refund Processing Time
- Approved refunds will be processed within 14 business days to the original payment method, subject to bank/platform timelines.
